USER SERVICE AGREEMENT

A. HBH Smart Edu Hub Institutional User Agreement (B-End)

[PLEASE READ CAREFULLY]

This Agreement is entered into by and between you (the “Institutional User / Merchant / You”) and Hande Education Technology (Wuxi) Co., Ltd. (hereinafter referred to as “HBH”, “we”, or “us”).

Before registering for, logging into, or using HBH Smart Edu Hub (hereinafter referred to as the “Platform” or “System”), you should carefully read and fully understand this Agreement, especially clauses relating to limitation of liability, data and personal information compliance, fees, and dispute resolution.

[Execution of Agreement]

By checking the “Agree” box and completing the registration or activation process, you confirm that you have read, understood, and accepted all terms of this Agreement. This Agreement shall be legally binding on both parties. If you do not agree, please stop registering or using the Platform.

[Amendments]

HBH may update this Agreement due to changes in laws and regulations, product upgrades, or operational needs, and will notify users through platform announcements, in-app messages, email, or SMS. Continued use of the Platform constitutes acceptance of the updated Agreement.

1. Definitions

1.1 Platform/System: The HBH Smart Edu Hub digital education management system and related services.

1.2 Admin Website: http://sj.hbhinstitute.net (subject to change as displayed on the Platform).

1.3 Institutional User: A legally established entity with valid business qualifications, or a natural person operator with full civil capacity.

1.4 End Users: Students, parents, or other users reached through the services of the Institutional User.

1.5 Data: Business data entered, uploaded, generated, or produced by the system, including but not limited to student information, schedules, attendance, orders, class consumption, points, communications, activity records, and reports.

1.6 Platform Rules: Operational rules, feature descriptions, pricing rules, privacy policies, and other publicly displayed platform policies.

2. Parties and Nature of Services

2.1 This Agreement is entered into by and between the Institutional User and Hande Education Technology (Wuxi) Co., Ltd.

2.2 The Platform provides SaaS (Software-as-a-Service) tools only. HBH does not participate in teaching performance, charging, refunds, or disputes between institutions and end users, nor does it assume responsibility for course quality, teaching outcomes, faculty qualifications, or promotional content, except as otherwise required by law.

2.3 If third-party services (SMS, maps, cloud storage, payments, video, etc.) are integrated, such services are independently provided by third parties, and Institutional Users shall comply with third-party rules.

3. Account Registration, Permissions, and Security

3.1 Accuracy of Information: Institutional Users shall provide true, accurate, and complete information and update it promptly upon changes.

3.2 Authorization and Permission Management: Institutional Users may create administrator or staff sub-accounts and assign permissions. Institutional Users bear full responsibility for actions taken by authorized accounts.

3.3 Account Security: Login credentials must be properly safeguarded. Losses caused by account leakage or mismanagement shall be borne by the Institutional User.

3.4 No Account Sharing or Leasing: Without written consent from HBH, accounts or rights may not be sold, transferred, rented, or lent.

4. Services Provided

4.1 The Platform may provide services including but not limited to: student/parent information management, course and class management, scheduling and booking, attendance and class consumption tracking, order and payment records, activity registration, points and growth systems, notifications, and statistical reports (subject to activated modules).

4.2 HBH may upgrade, maintain, or adjust the Platform. Material changes will be notified in advance where reasonable.

4.3 For security and compliance, HBH may limit, freeze, or suspend abnormal accounts or transactions and provide appeal channels where applicable.

5. Fees and Payment (If Applicable)

5.1 Institutional Users shall pay applicable fees for paid versions, modules, or service packages as agreed in orders or contracts.

5.2 Unless otherwise agreed in writing, paid fees are generally non-refundable. If services are unavailable for an extended period due to HBH’s fault, both parties may negotiate a reasonable solution.

5.3 Institutional Users are solely responsible for taxes, invoicing, refunds, and reconciliation with end users.

6. Data Ownership and Personal Information Compliance

6.1 Data Ownership: Business data entered or generated by Institutional Users generally belongs to the Institutional User or the legally entitled party.

6.2 Data Processing Authorization: Institutional Users authorize HBH to process data as necessary for service provision, maintenance, troubleshooting, analytics, and product optimization. HBH will implement commercially reasonable security measures.

6.3 Personal Information and Minor Protection: Institutional Users are primarily responsible for lawful handling of personal information, including:

• Providing clear notice and obtaining consent;

• Applying enhanced protection standards for minors;

• Not collecting, using, or providing information beyond legal scope.

Any disputes, claims, or penalties arising from violations shall be borne by the Institutional User, who shall indemnify HBH for resulting losses.

6.4 Data Backup and Export: The Platform may provide reasonable data export and backup functions (subject to actual features). Institutional Users are advised to back up key data regularly.

6.5 Data Retention: After service termination, HBH may retain necessary data per laws and Platform rules, then delete or anonymize it unless otherwise required by law.

7. Prohibited Conduct

Institutional Users shall not:

7.1 Intrude, interfere with, or damage the Platform; scrape data; reverse engineer; bypass security;

7.2 Publish illegal, false, or infringing content;

7.3 Collect, trade, or disclose end-user personal information without authorization;

7.4 Engage in money laundering, fraud, gambling, or other illegal activities;

7.5 Violate laws or Platform rules in any other manner.

8. Limitation of Liability

8.1 Services are provided “as-is” and “as available.” HBH is not liable for losses caused by force majeure, network failures, or third-party service interruptions.

8.2 To the extent permitted by law, HBH is not liable for indirect losses, lost profits, or business interruption.

8.3 HBH’s total liability shall not exceed the total service fees paid by the Institutional User to HBH in the 12 months preceding the dispute; for free services, liability shall be limited to the minimum permitted by law.

9. Termination

9.1 Institutional Users may deactivate or cancel accounts according to Platform rules.

9.2 HBH may suspend or terminate services for material breach or risk concerns.

9.3 Post-termination data handling shall follow Section 6.

10. Intellectual Property

10.1 Intellectual property rights in the Platform, software, code, interfaces, and documentation belong to HBH or rightful owners.

10.2 Copyright Ownership: Hande Education Technology (Wuxi) Co., Ltd. Unauthorized reproduction, modification, distribution, or commercial use is prohibited.

11. Governing Law and Dispute Resolution

11.1 This Agreement shall be governed by the laws of the People’s Republic of China.

11.2 Disputes shall first be resolved through negotiation; failing which, either party may file a lawsuit with the competent People’s Court at the domicile of Hande Education Technology (Wuxi) Co., Ltd. (or arbitration, if amended).

B. HBH Smart Edu Hub Parent / Student User Agreement (C-End)

[PLEASE READ CAREFULLY]

This Agreement is entered into by and between you (the “Parent / Student / User / You”) and Hande Education Technology (Wuxi) Co., Ltd. (hereinafter “HBH” or “we”).

Before registering, logging in, or using the HBH Smart Edu Hub Parent/Student App (the “Service”), please carefully read and understand this Agreement, especially clauses related to minors, personal information protection, liability limitations, and dispute resolution.

[Important Notice]

This Service is a digital tool used for course booking, activity registration, class records, points redemption, and communication. Teaching services, fees, refunds, performance, and disputes are generally handled by the educational institution you choose and bind to (“Institution”). HBH does not directly assume teaching responsibility unless otherwise required by law.

[Agreement Acceptance]

By clicking “Agree” or continuing to use the Service, you accept this Agreement. If you do not agree, please stop using the Service.

1. Definitions

1.1 HBH Smart Edu Hub: The digital education management and service platform provided by HBH.

1.2 Institution: The entity providing educational services to you.

1.3 Account: Your login account (phone, email, or third-party account).

1.4 Personal Information: Identifiable information including name, phone number, child information, enrollment records, and payment records.

2. Account and Usage Rules

2.1 You shall provide accurate information and safeguard account security.

2.2 Accounts may not be lent, rented, or used for illegal purposes.

2.3 Please contact HBH or the Institution immediately if abnormalities are detected.

3. Service Features

The Service may include:

• Course booking, leave requests, and schedules

• Activity registration and notifications

• Class consumption records, growth records, badges, levels, and points

• Points redemption (if applicable)

• Home-school communication

4. Institutional Services and Responsibility Boundaries

4.1 Courses and activities are generally provided by Institutions.

4.2 Course quality, instructors, venue safety, refund policies, invoices, and contracts are the responsibility of Institutions.

4.3 HBH provides technical support only and does not guarantee institutional performance except as required by law.

5. Fees, Payments, and Refunds (If Applicable)

5.1 Payment and refund rules are subject to Institutional agreements.

5.2 Losses caused by user error are borne by the user.

5.3 Payment disputes should be addressed with the Institution first; HBH may assist with technical records where feasible.

6. Special Provisions for Minors (IMPORTANT)

6.1 Guardians must read and accept this Agreement on behalf of minors and assume guardianship responsibility.

6.2 Enhanced protection measures are applied to minors’ information.

6.3 Information provided must be lawful, necessary, and authorized.

7. Personal Information Protection

7.1 Personal information is handled per the Privacy Policy and applicable laws.

7.2 Information may be shared when necessary:

• With Institutions for service delivery;

• With essential third-party providers (SMS, cloud, payment);

• When legally required.

7.3 Despite reasonable safeguards, internet risks exist.

7.4 Users may request access, correction, deletion, or withdrawal of consent subject to legal and service limitations.

8. Content Standards and Prohibited Conduct

Users shall not:

• Publish illegal, abusive, or defamatory content;

• Infringe intellectual property or privacy rights;

• Attack the Platform or scrape data;

• Violate laws or Platform rules.

Violations may result in restrictions or account suspension.

9. Service Interruptions and Liability Limitations

9.1 HBH is not liable for interruptions due to force majeure or third-party failures.

9.2 HBH is not liable for indirect or consequential losses.

9.3 HBH’s liability shall not exceed the total fees paid by the user to HBH in the 12 months preceding the dispute, or the legal minimum for free services.

10. Termination

10.1 Users may cancel accounts per Platform rules.

10.2 HBH may terminate services for serious violations or security risks.

10.3 Data handling follows legal requirements.

11. Intellectual Property

All intellectual property rights in the Service belong to HBH or rightful owners.

12. Governing Law and Dispute Resolution

This Agreement is governed by PRC law. Disputes shall be resolved through negotiation or litigation at the competent court of HBH’s domicile (or arbitration, if amended).
